Bylaws of the RevGuild Kite Club

ARTICLE I.  NAME

The name for this organization shall be RevGuild.  Any references to the ‘Club’ shall be referring to “RevGuild”.

The Club name, initials and logo are the property of the RevGuild kite club and will not be used by anyone but RevGuild for purposes pertaining only to the RevGuild kite club.


ARTICLE II.  PURPOSE


Section 1.  Mission Statement


The overall purpose of this social and educational organization is to promote kites, the sport of kiting, and especially that of Revolution-type kiting. To that end the organization shall:

1.Share information about kiting and provide avenues of communication among kiters.

2.Promote safe kiting as a rewarding form of art and sport.

3.Encourage a cooperative environment for people from all walks of life to share a common interest and pastime.

4.Facilitate coordination and planning of kiting activities.

5.Provide an educational resource for the development of kiting.

6.Club members will practice safe and courteous kite flying at all times.  Failure to comply with this by-law could result in termination of membership.  See Article III, Section 5.


Section 2.  Regular Fun Flies


Whenever possible, the Club shall organize a monthly fun fly where all non-member fliers are welcome, and Club members are encouraged to attend in the interest of having a bloody good time, without any expectation or demand.

Fun flies can and may include, but are not the same as scheduled meetings.

In the interest of maintaining a non-traditional club, foregoing as much political and bureaucratic complication as possible, meetings shall typically consist of a scheduled fun fly and “on field” discussions, unless a special meeting is called to order by a majority of Club officers in the interest of discussing and deciding specific Club affairs.


Section 3.  Bylaws


Like any club, bylaws serve to provide insight into the agenda, as well as to provide stability and reference whenever there is contention relating to Club activities, actions or agendas... However, these bylaws exist purely for that purpose, and shall not be used except when absolutely appropriate to maintain the integrity, functionality or safety of the Club, its membership, and its leadership.


ARTICLE III.  MEMBERSHIP


Section 1.  Eligibility

Membership is open to all persons who favor the purpose of the Club.


Section 2.  Classes of Members


1.INDIVIDUAL MEMBER:
A dues-paying person entitled to all privileges of membership.

2.FAMILY MEMBER:
A class of membership open to individuals residing in a common household.  Members in this class are entitled to all privileges of membership but limited to two votes.

3.HONORARY MEMBER:
A person, organization or sponsor whom the Club wishes to recognize by conferring membership without requiring the payment of dues.  The majority vote of the organization’s officers is required to confer honorary status.  Honorary members are entitled to all benefits except voting rights.

4.LIFETIME MEMBER:
A person whom the Club deems to have provided outstanding service and effort in the interest of the Club. The majority vote of the organization’s officers is required to confer lifetime status.  Lifetime members are entitled to all benefits, including voting rights.


Section 3.  Privileges of Membership


Privileges of membership are as follows:

1.Subscription to the Club newsletter (if applicable).

2.Membership card.

3.Privilege to attend official Club functions.

4.Upon request, a copy of organization by-laws in effect at the time of request.

5.Right to nominate officers of the organization and to vote in general proceedings of the organization.

6.Merchant discounts as negotiated for the members of the organization (if available).

7.Clinic/workshop discounts as negotiated for the members of the organization (if available).

8.Other services as provided by the organization.

9.Use of Club equipment (if available).


Section 4.  Dues


The Club Officers shall determine dues.  Standards for assessing dues will be:

1.Dues shall be no more than is reasonable and necessary for publications of the Club Newsletter, web site maintenance, equipment upkeep, for support of the Club’s functions and for achievement of its goals.

2.No back assessments will be levied upon former members who reinstate.

3.Couple/Partner membership will include husband and wife or household partners who are residing at the same address, up to a maximum total of two people.

4.Family or membership will include husband and/or wife, household partners, and all children under age 18 living at the same address, up to a maximum total of four people.


Section 5.  Termination or Withholding of Membership

Any/all of the following are deemed as cause for termination or withholding of membership:

1.Failure to maintain RevGuild annual dues.

2.Failure to comply with RevGuild by-laws.

3.Action(s) found by RevGuild officers to be detrimental to RevGuild, Club members, or to public safety.

The Officers by a majority vote may, in writing, terminate or withhold membership in any class for activity which is the judgment of the Officers is prejudicial to the best interests of the Club. Termination will be determined in a closed session by current RevGuild officers after an initial warning has been issued to the offending member.  A member may be placed on a six month probation of the discretion of the current RevGuild officers.


Section 6.  Transfer of Membership

1.Membership in any class in the Club is not transferable, assignable or negotiable.  Individual and Family Memberships may, however, be given as gifts.


Section 7.  Expiration of Membership

1.Dues shall be payable within 60 days of annual due date.  Dues not paid by the end of this 60 days shall default the membership unless otherwise specified by the club officers.


Section 8.  Voting

1.Minimum voting age of any RevGuild member shall be 14 years.

2.Only current members in good standing shall have voting privileges.


ARTICLE IV.  DUTIES OF OFFICERS


Section 1. President

1.It shall be the duty of the President to preside at all official Club meetings whenever possible, although not always feasible due to the geographic coverage of RevGuild membership.

2.It shall be the duty of the President to make emergency decision that may arise.  The same to hold until the next meeting of the Officers, or a stated meeting of the Club, when the decision shall be confirmed or rejected.

3.The President shall be the representative of the Club authorized to enter into any contract that involves the Club, it’s membership, or its finances.  Any such contract must be approved by a majority of the Officers.

4.The President shall also call regular and special meeting as provided in the by-laws.

5.It shall be the duty of the President to appoint special committees at any regular meeting or as may be necessary, in promoting the work of the Club.  The President shall be an ex-officio member of all committees, but shall not be required to attend committee meetings.

6.To coordinate with the Parks and Recreation Department(s) and the City Chamber(s) of Commerce, in cooperation with other Club officers.

7.To respond to inquiries and correspondences received by the Club.

8.Upon election of a new President, the outgoing President shall serve for one additional year as Past President (see Article IV, Section 6).


Section 2.  Vice-President

1.It shall be the duty of the Vice-President to perform all duties of the President in the event of the President’s absence, disability or resignation, and to assist the President.

2.The Vice-President will have the responsibility of coordination and developing all committee work and coordinate all special activities of the Club.

3.To coordinate with the Parks and Recreation Department(s) and the City Chamber(s) of Commerce, in cooperation with other Club officers.


Section 3. Ways and Means Chairperson

1.It shall be the duty of the Chairperson for assessing logistics and assisting in preparation for Club events, including amenities (canopy, field boundaries, etc) event locations and dates, obtaining materials such as permits, portable toilets, and forms.

2.To coordinate with the Parks and Recreation Department(s) and the City Chamber(s) of Commerce, in cooperation with other Club officers.

3.To coordinate other volunteers.


Section 4.  Secretary

1.To maintain a file of Club membership information.

2.To retain all non-financial record keeping, when deemed appropriate by the President.

3.To coordinate with the Parks and Recreation Department(s) and the City Chamber(s) of Commerce, in cooperation with other Club officers.


Section 5.  Treasurer

1.It shall be the Treasurer’s duty to oversee the receipt of funds, pay all obligations incurred by the Club, supervise and keep a written report of all financial transactions of the Club, and present such a report at the Annual Meeting of the Club and/or as requested.

2.It shall be the duty of the Treasurer to insure that all payments are made by corporate (Club) check or credit card with receipts, for all expenditures made directly by the club, or those authorized by the Club to be made by another organization (compensation).

3.The Treasurer shall be authorized to write any check what is within budget not to exceed $100.00.  Any check exceeding $100.00 requires authorization by the majorities of the Club’s Officers.


Section 6.  Past President

4.It shall be the Past President’s duty to be involved with official discussions amongst Club officers, bringing their previous experience as President to the table.

5.Past President does not vote in Officer decisions, but may serve as a sounding board and voice of reason when they feel it to be appropriate.


Section 6.  Officer Vacancies

1.A vacancy of an Officer may filled by appointment by the President, with confirmation by a majority vote of the Officers.


Section 7.  Removal of Officers

1.By the Membership:  An Officer may be removed by a three-fourths vote of the voting members, for activity that, in the judgment of members, is prejudicial to the best interest of the Club.  Written notice of intent to remove an Officer must be given thirty days in advance to the Officer to be removed.

2.By the Officers:  By a three-fourths vote of those participation may declare an Officer’s post vacant if the elected Officer has not fulfilled the duties of office.


Section 8. Officer Servitude

1.Elected officers shall serve for a period of one year in the capacity they've been elected to or assumed (in the case of Past President).  Appointed officers shall serve a term until the next election.

2.An officer may be appointed to complete the remaining term for any officer resigning during mid-term.

3.A board of officers may attend meetings in person or by phone.

4.Special meetings may be called if requested by a minimum of five current members of the Club.
 

ARTICLE V.  MEETING AND ELECTION OF OFFICERS


Section 1.  Annual Meeting

The Annual Meeting shall be held no later than May 1st of each year.  This meeting shall be for the primarily for the purpose of an annual gathering of friends, associates and fellow kite fliers who are members of the Club, for flying, learning, teaching and socializing.

Additionally, the Annual Meeting will allow the Club to hold and finalize elections (also to be announced in the Club newsletter and forum), and for any other business that may arise.


Section 2.  Notification

Members shall be notified of the Annual Meeting at least 90 days before the meeting is held.  In the same announcement, nominations for Officers shall be solicited from members.


Section 4.  Elections

1.Elections shall take place every year for the officer positions.

2.Elections will be by written, sealed ballot; whether mailed or handed-in.

3.The officers shall appoint a Nominations and Elections committee. The committee shall consist of 2 officers and at least 2 additional members in good standing. The officer membership shall represent the diversity in geography and interests of RevGuild membership.

4.The Elections and Nominations committees shall be appointed no less than 90 days prior to the Annual Meeting every year and publicly solicit potential candidates from RevGuild membership on the Club web forum, via the newsletter and at meetings.

5.The committee will verify that the potential candidates are willing and able to serve.

6.In the 30 day window prior to the Annual Meeting, nominations will be announced and ballots will be sent out.

7.Voting will be closed at noon on Saturday of the Annual Meeting.

8.Votes will be counted and results announced at the Saturday Club dinner.


Section 4.  Elections (continued)

1.The committee shall coordinate distribution, collection, and counting of ballots.

2.Candidates can be nominated by any member in good standing. Another member in good standing is needed to second the nomination to place the candidate on the ballot.

3.In the event of a tie there shall be a re-vote.

4.Successful candidates shall officially take office at the next immediate meeting following the election.

5.Any nominee has the right to decline to run for office.

6.Ballots shall be retained on file for three years.


ARTICLE VI.  COMMITTEES

Committees shall be established as needed for the purpose of planning and executing Club functions.  They shall be established and dissolved as deemed necessary by the Club Officers.


ARTICLE VII.  RESERVED

The following is the RevGuild kite club logo.  This logo has been approved by the original Club officers and will serve the RevGuild kite club until the Club is dissolved.




ARTICLE VIII.  STATEMENT OF NON-DISCRIMINATION


No person will be discriminated against in admission to membership, election or appointment to any post or denied participation in any Club activity on account of race, color, religious beliefs, national origin, political affiliation, gender, age, disability, or sexual orientation.


ARTICLE IX.  AMENDMENTS

Section 1.  These by-laws may be altered, amended or repealed and new by-laws adopted at any meeting of the general membership by a quorum.

Section 2.  The membership may direct the President to effect any amendment of the by-laws.  Any amendment under this section must be approved by a two-thirds vote of the members present at any general meeting and must have been submitted to all members, in writing, at least 30 days in advance of such meeting.  


ARTICLE X.  DISSOLUTION

Section 1.  If at any point, the RevGuild kite club formally ceases to exists as an organization, the assets of the Club will be donated to the American Kitefliers Association.
